TERMS AND CONDITIONS OF USE (CGU)

DEFINITIONS

Partner(s) Content”: refers to the opinions collected by the Partner(s) from Internet users, associated rights of reply and all information relating to Internet users who have published these opinions.

User Account”: refers to a secure Solu Africa account specific to each User. This account allows the User to access and use the Services. For example, in order to write a review of a Professional, the User must have an Account.

General Terms and Conditions of Use” or “GTCU”: refers to the present Terms and Conditions.

CVthèque”: Web space hosting CVs and profiles accessible to Users via the Site.

We” or “Solu Africa” means Solu Africa Sarl, the publisher and owner of the Services.

SOLU AFRICA SARL”: is a formal company based in Cote D’Ivoire which owns 100% of Solu Africa and its services.

Partner(s)”: refers to company(ies) specializing in collecting opinions from Internet users.

Party”: means, together or individually, the User and/or the Owner.

Person”: means any natural person as well as any commercial company, association, partnership, joint venture, limited liability company, joint stock company or other company or organization, Ivorian or foreign, and more generally any entity with or without legal personality.

Professional”: refers to any professional (natural or legal person) who appears in the response lists on the https://soluafrica.com website, whether or not the latter is an advertiser.

Service(s) and/or “Solu Africa” Service(s): refers to any service offered on www.soluafrica.com and the mobile application. {solu}

Editorial service(s)”: refers to any editorial service or feature offered on www.soluafrica.com and the {solu} app that does not require the creation of a User Account to benefit from it.

Account Service(s)”: refers to any service offered on www.soluafrica.com that requires the creation of a User Account in order to benefit from all the functionalities offered by the service.

Among the services concerned are the following:

Site”: refers to the www.soluafrica.com website.

The app” refers to the mobile application on Android, Apple Store of {solu}

User”: means any natural person who has (a) the capacity required to comply with his obligations under the GTCU and (b) the rights that authorize him to submit to the GTCU and to submit to the GTCU the company holder of the Internet user Account visiting the Site, including the Professional.

Solu Africa provides its Service to Users, subject to the latter’s full and complete acceptance of these terms of use (hereinafter “Terms of Use”), without prejudice to the terms of use specific to the User Account. Otherwise, Users are prohibited from using the Service.

WARNING

To meet the commercial needs of companies, the Solu Africa company and in particular the https://soluafrica.com website allow the data from the Solu Africa Professional Network to be consulted and used in full legality.

SUBJECT

The purpose of the present General Terms of Use is to set out the rights and obligations of Users in connection with the use of the Services of the Solu Africa website. They come into force on the date they are put online in the Services and are enforceable from the date of first use of the Service concerned by the User, for the entire duration of its use.

By accessing the Website and/or using the paid or free Services, all Users declare that they have read the GCU and expressly accept them without reservation and/or modification of any kind whatsoever.

EFFECTIVE DATE AND PERIOD OF VALIDITY OF CGU

These GCU apply to the User as soon as he/she accesses the Website.

The use of the Services is for an indefinite period and Solu Africa may terminate it at any time. The User may at any time discontinue use of the Services.

The GCU are binding on the User for the duration of the Service concerned, until replaced by new GCU.

INTELLECTUAL PROPERTY

Solu Africa is the exclusive owner of all intellectual property rights relating to the Services and in particular to their structure (graphic charters, tabs, functionality, computer code) and content (trademarks, images, logos, illustrations, photos, texts, etc.) with the exception of the rights of the Third Parties concerned.

In this capacity, SOLU AFRICA SARL is the owner of the domain name www.soluafrica.com, of the copyrights relating to the content of the Site and of the rights as producer of the Site’s databases. In this capacity, it defines and decides on the list of headings and services included in the present Professional Network. The decision to publish the basic listing of a professional subscriber belongs exclusively to Solu Africa.

Access to the Services is exclusively limited to the use of the User under the conditions and within the limits defined in the General Conditions, which can be consulted at www.soluafrica.com. Any reproduction in whole or in part, by any means whatsoever, without the prior written consent of Solu Africa is unlawful and constitutes an infringement giving rise to penalties.

In accordance with the provisions of intellectual property and copyright law in force in the countries in which Solu Africa is established, Solu Africa is the producer and the sole owner of the database accessible on the present site.

Consequently, access to the Services with a view to extracting, reproducing, using, reselling, exchanging, renting, modifying, adapting or correcting, whether free of charge or in return for payment, all or part of the Website, the Services and their content protected by copyright, trademark law, software law, the rights of database producers, or by any other intellectual property right whatsoever, is prohibited.

Furthermore, it is expressly recognized and accepted by the User that the use of automated systems or software to extract data from the Site, in particular the content and the CV library (“screen scraping / web scraping” in particular), for any purpose whatsoever, commercial or otherwise, is strictly prohibited, unless Solu Africa has entered into a written license agreement expressly authorizing the User to extract part of the data from the Site.

PRESENTATION OF MAIN SERVICES

Editorial Services

Review consultation services: this service enables all Users to consult consumer reviews of Professionals. The User is informed that the reviews are provided by any type of natural or legal person who has actually benefited from the services of professionals and companies. These reviews can be identified on the service by a “Customer reviews” sign.

For editorial reasons, the pseudonyms of our partners’ customers have been automatically generated by Solu Africa. These reviews are subject to the terms and conditions as well as to the moderation rules of the Partner concerned. Solu Africa does not review or control reviews provided by Partners and will not be held responsible for Partner Content under any circumstances. However, Solu Africa reserves the right to remove any Partner Content at its sole discretion, without prior notice and for any reason whatsoever.

ACCESS - USE OF SERVICES

Service access

The Services are available on the Internet, free of charge, 24 hours a day, 7 days a week, all year round, to any User with Internet access. All costs relating to access to the Services, whatever they may be (in particular hardware costs or Internet access), are borne exclusively by the User, who is solely responsible for the proper functioning of his or her computer equipment and Internet access.

Solu Africa uses reasonable efforts to provide access to the Services, but is under no obligation to do so.

Solu Africa reserves the right, without prior notice, to suspend permanently or temporarily the use of all or part of the Services, in particular in order to update, modify or maintain them, and generally for any other technical or organizational reason.

Consequently, Solu Africa may not be held liable in any way whatsoever, and for any reason whatsoever, in particular in the event of temporary or total unavailability of all or part of the Services, of a difficulty linked to response time, and in general, of any failure of performance whatsoever of all or part of the Services.

Use of the Service

Use of the Services implies unconditional acceptance of the General Terms of Use. They are reserved exclusively for personal and professional use. In any event, use of the Services is under the sole control and responsibility of the User.

In order to respect the User’s privacy, access to the Services is limited to manual use. Any use of a robot is prohibited. In particular, it is illegal to use the Services automatically to build up commercial databases or for automated prospecting of e-mail addresses.

CHANGES TO SERVICES AND CGU

Solu Africa Online reserves the right to modify, at any time and without notice, all or part of the Services as well as the Terms of Use.

Consequently, the User acknowledges and accepts that no compensation of any kind whatsoever may be granted in this respect.

The User is also advised to refer regularly to the latest version of the General Terms of Use, which is permanently available on the site on the Account creation page.

Modifications to the Services and the General Terms of Use come into force on the date they are posted on the Service and are enforceable on the date of first use by the User. Use of the Services implies full and complete acceptance of any revision or modification of the Services and its GTUs.

Unless otherwise specified, all new Services or modifications to existing Services will be subject to the General Terms of Use.

LIABILITY OF THE PARTIES AND USER DECLARATION

Solu Africa's responsibility

The User acknowledges that Solu Africa cannot be held liable, in any manner whatsoever, and for any reason whatsoever, for any direct (including immaterial) and/or indirect damage, relating to the Use of the Services (including content, access…) by the User, who remains solely responsible in this respect and/or arising from the use of the Site, including any possible connection with a professional, or another third-party website.

In particular, the Professional is solely responsible for the processing of notices and after-sales service related to the products and/or services he/she sells through the “Centralized Quotes” service, and as such, guarantees Solu Africa against any condemnation or other consequences that may result from the action of Users.

Solu Africa reserves the right to take any action necessary to ensure that the User complies fully with its obligations.

Responsibility of the User

The User is responsible for the use he makes of the information made available to him by Solu Africa in the context of the Services, and must therefore ensure that he is in possession of all the information necessary to make a decision in his own best interests.

Solu Africa shall in no way be held responsible for decisions of any kind that may be made by the User on the basis of information accessible in the Services.

User declaration

The User undertakes:

⇨ Not to obtain the e-mail addresses of other Users or third parties in order to carry out mass e-mailings (or “Spam”), to carry out the aforementioned mass mailing operations from his Account, or to carry out any other operation that may interfere with the normal operation of the Website, the Services, or the Account of another User;

⇨ To carry out commercial activities via the Website or the Services only in compliance with the Regulations ;

⇨ To respect the image and reputation of the Publisher and not to engage in statements and/or actions likely to damage the Publisher in any way whatsoever.

Furthermore, the User undertakes to communicate on the Website or via the Services only information that is accurate, compliant, legible and intelligible and that does not harm the interests of third parties. In particular, the User undertakes to comply with and respect all Regulations. In particular, the User undertakes not to publish and/or disseminate any Content or information of any kind whatsoever containing Illicit Material, or indicating an Internet address giving access to Illicit Material.

Any message, publication, Content, product, service or any form of information is considered an “Illicit Element”:

⇨ Contrary to public order and morality ;

⇨ Prohibited from sale, promotion, advertising according to the Regulations ;

⇨ Pornographic or pedophilic ;

⇨ Racist, xenophobic, revisionist, abusive, defamatory, prejudicial to the honor or reputation of others, or likely to undermine the presumption of innocence ;

⇨ Inciting discrimination, hatred of a person or group of persons because of their origin or their membership or non-membership of a particular ethnic group, nation, race or religion, threatening a person or group of persons ;

⇨ Incitement to commit an offence, crime or act of terrorism ;

⇨ Apologizing for war crimes or crimes against humanity, or denying their existence ;

⇨ Inciting suicide ;

⇨ Allowing third parties to obtain directly or indirectly pirated software, software serial numbers, pirated means of payment, pirated means of payment numbers, software enabling acts of piracy and intrusion into computer and telecommunications systems, viruses and other logic bombs and generally any software or other tool enabling infringement of the rights of others and the security of persons and property;

⇨ Of such a nature as to infringe privacy, the private nature of correspondence and, more generally, the rights of persons and property.

⇨ Usurping the identity of others.

Solu Africa will remove any Content it deems to be Illicit without notice.

If a Person has good reason to believe that an item present on the Website is an Illicit Item, they must immediately notify the Publisher at the following address: info@soluafrica.com.

OPENING AN ACCOUNT

To open an Account, any User of the Website must be a natural person and must have the authority to represent the company holding the Account. Only a company represented by a User may hold an Account.

For company registration, there’s a validation bar that allows you to tick the box to register as a company.

The User must:
– Either complete the registration form with all the required information and then click on the “I create my account” button, thereby accepting the GCU on his own behalf or on behalf of the company holding the Account;

The User will be registered as the representative of the company holding the Account, registered on the Platform. The User then has access to all or part of the Services on the Website.

PROTECTION OF PERSONAL DATA

ATTRIBUTION OF COMPETENCE

In the event of a dispute relating to the interpretation and/or application of the present terms of use, failing amicable resolution, jurisdiction is expressly attributed to the courts of the countries in which the plaintiff resides and where Solu Africa is present, notwithstanding plurality of defendants or the introduction of third parties, even for emergency proceedings or conservatory proceedings, in summary proceedings or by petition.

APPLICABLE LAW

These Terms of Use are governed by the laws in force in the countries where Solu Africa is implemented.
This site and its content are the exclusive property of SOLU AFRICA SARL.
